General Counsel

As Head of Legal, Andrew Warner oversees the global legal function at Ora, including all operational contract matters, intellectual property, corporate governance, employment, privacy, and corporate investments. He provides direct support to Ora’s C-level executives and board members, and offers broad support across departments on all legal and business issues. He also leads and manages the legal aspects of global expansion into Europe, Japan, China, Australia and provides internal legal support in connection with M&A activities. 

Responsibilities include supporting Global Sales by directly interfacing and negotiating with customers, vendors, and collaborators; supporting Global Corporate Development in the formation of Intellectual Property (IP) and commercialization strategy for target assets; supporting R&D regarding patentability, freedom to operate, assertion and IP strategy; supporting Human Resources across all functions (hiring, terminations, policy drafting, training); supporting Marketing in regard to trademark and copyright protection and strategy; and supporting Quality with legal compliance on U.S. Food & Drug Administration drug and device regulations, General Data Protection Regulation (GDPR), Health Insurance Portability and Accountability Act (HIPAA), fraud and abuse/federal anti-kickback laws, and the Physician Payments Sunshine Act.

Prior to Ora, Andrew was Licensing Manager for the Brigham and Women’s Hospital (BWH) with Partners Healthcare, Inc. in Boston, where he evaluated and monetized intellectual property assets created in the Radiology and Orthopedics departments. Andrew created business and marketing plans for chosen assets; identified and partnered with industry commercial partners; and drafted and negotiated license agreements. Additionally, Andrew advised BWH clinicians and researchers on patents, trademarks, copyright and trade secret creations, protection, and management.

Earlier, Andrew was Associate Intellectual Property Counsel for Cell Signaling Technology, Inc.

Andrew earned a Juris Doctorate (cum laude) at Franklin Pierce Law Center in New Hampshire and a Bachelor of Science in Biology and Economics at the State University of New York at Geneseo. He has been admitted to practice law in the State of New York and before the U.S. Patent and Trademark Office. He is registered with the Board of Bar Overseers to practice in-house in Massachusetts.
